1. Acceptance of Terms

These Terms of Service (“Terms”) are a legal agreement between you and Arc Studio LLC, a Wyoming limited liability company (“Arc Studio,” “we,” “us,” or “our”), governing your access to and use of our website, products, and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your credentials confidential and not share them with others.
• Take responsibility for all activity that occurs under your account.

If you suspect unauthorized access to your account, notify us immediately at hi@arcstudiolab.com.

4. Subscriptions, Pricing & Payments

• Subscription products are billed in advance on a recurring basis (monthly or annual) and renew automatically until cancelled.
• One-time purchases are billed in full at the time of purchase and grant access to the specific deliverables described at checkout.
• Payment processing is handled by Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees and any taxes through Stripe.
• Fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as expressly stated in our refund policy.
• Pricing changes — for active subscribers, we will provide at least 30 days’ notice before any price increase takes effect.

5. Cancellation & Refunds

Subscriptions

You may cancel a subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access through that date and will not be billed again.

One-time AI generation purchases

Product-specific refund terms may apply and are listed on each product website. For ProHeadshot.ai, you may request a refund within 7 days after receiving generated headshots if you are not satisfied and have not downloaded any paid output. To request a review, contact us with your order email and a brief issue summary.

• Before generation begins — full refund available if no AI generation has been started.
• Technical failure — refund or free regeneration if our system fails to deliver the purchased output.
• Quality concerns — product-specific refund terms apply. Additional refunds beyond those terms are reviewed at our discretion.

Billing disputes

If you believe a charge is incorrect, please contact us within 30 days at hi@arcstudiolab.com and we will review the matter in good faith.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right.
• Infringe on intellectual property rights, privacy rights, or publicity rights.
• Generate or distribute content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, or that incites violence.
• Upload or transmit malware, viruses, or other harmful code.
• Interfere with or disrupt the integrity, security, or performance of the Services.
• Attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer, decompile, or scrape the Services, except as expressly permitted by law.
• Resell, sublicense, or commercially exploit the Services without our written consent.
• Use the Services to develop, train, or improve a competing product or service.
• Send spam, engage in phishing, or impersonate another person or entity.

We reserve the right to investigate violations of this section and to suspend or terminate accounts that violate these Terms.

7. Photo Submission Policy (ProHeadshot.ai)

Because ProHeadshot.ai processes user-uploaded photographs to generate AI-based portraits, you specifically agree that:

• You will only upload photos of yourself or photos for which you have obtained explicit consent from the person depicted.
• You will not upload photos of minors (under 18) for headshot generation purposes.
• You will not upload photos of public figures, celebrities, or any person without their direct consent.
• You acknowledge that AI-generated headshots are derivative works based on your input photos and may differ from your actual appearance.
• You will not use AI-generated headshots to deceive others, create fake identities, or for any fraudulent purpose.

Violation of this policy may result in immediate account termination without refund.

8. User Content

You retain ownership of any content you upload, submit, or generate using the Services (“User Content”). By submitting User Content, you grant Arc Studio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display the User Content solely as necessary to operate, provide, and improve the Services.

You represent that you own or have the necessary rights to your User Content and that it does not infringe on the rights of any third party.

9. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are the property of Arc Studio LLC or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

No rights are granted by implication, estoppel, or otherwise.

10. Third-Party Services

The Services may interoperate with third-party products and services (for example, Stripe for payments, Supabase for database and authentication, Cloudflare for storage and content delivery, and third-party AI model inference providers). We do not control these third parties and are not responsible for their content, terms, or practices. Your use of any third-party service is subject to that provider’s own terms and privacy policy.

11. AI-Generated Output

Some of our Services use artificial intelligence to generate output. AI-generated output may contain inaccuracies, inappropriate content, or errors. You are responsible for reviewing output before relying on it for any purpose, and you should not treat AI output as professional, legal, medical, or financial advice.

You agree to indemnify, defend, and hold harmless Arc Studio LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or any applicable law.

15. Suspension & Termination

We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms, present a security risk, or as otherwise required by law. You may terminate your account at any time by following the instructions in your account settings or by emailing us.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will continue in effect.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you by email or through the Services. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

18. Miscellaneous

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Arc Studio regarding the Services.
• Severability. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• Notices. We may provide notices to you by email, through the Services, or by posting on our website.
